These Terms of Service ("Terms") form a binding agreement between you and Vitalshield Solutions LLC ("we," "us," or "our") and govern your access to and use of the LyfeX.AI mobile application and any related services (together, the "Services"). By downloading, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the Services for your own personal, non-commercial use. We reserve all rights not expressly granted to you. You may not copy, modify, reverse-engineer, decompile, resell, or create derivative works from the Services except as permitted by law.
Parts of the Services use artificial intelligence to generate insights, coaching, plans, and other output. AI output may be inaccurate, incomplete, or not appropriate for your situation. You are responsible for evaluating any AI-generated content before relying on it, and it should never be treated as professional, medical, or otherwise expert advice. The Services offer optional auto-renewing subscriptions (for example, "Pro" and "Elite"). The following applies to all paid subscriptions:
Free features may have usage limits, and paid features unlock higher limits and additional capabilities as described in the app at the time of purchase.
You agree not to: (a) use the Services for any unlawful purpose or in violation of these Terms; (b) attempt to gain unauthorized access to the Services, other accounts, or our systems; (c) interfere with or disrupt the Services; (d) upload malicious code or content that infringes the rights of others; or (e) misuse, scrape, or attempt to circumvent any usage limits, security, or billing features.
You are responsible for safeguarding your account credentials and for activity under your account. Our collection and use of your information, including health data, is described in our Privacy Policy, which is incorporated into these Terms by reference.
The Services, including all software, text, graphics, logos, and content (excluding your own data), are owned by Vitalshield Solutions LLC or its licensors and are protected by intellectual property laws. The "LyfeX" and "LyfeX.AI" names and marks may not be used without our prior written permission.
The Services rely on and may link to third-party services (including Google Play, Google Health Connect, cloud and AI providers). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT OR RESULTS WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALSHIELD SOLUTIONS LLC AND ITS OWNERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.
You agree to indemnify and hold harmless Vitalshield Solutions LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
We may update these Terms from time to time. The updated version is indicated by the "Last updated" date above. Material changes will be communicated as required by law. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Georgia, to the extent permitted by applicable law.
